Winands Labs - END-USER LICENSE AGREEMENT

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, the "Licensee") and Winands Labs (the "Licensor").

By installing, copying, or otherwise using the software product "WinMPX" (the "Software"), you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. GRANT OF LICENSE

Winands Labs grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software for both PERSONAL and COMMERCIAL purposes strictly in accordance with the terms of this Agreement.

1.1 FREEWARE LICENSE

The Software is provided as Freeware. You are granted full access to all features without charge. There are no hidden fees, subscriptions, or feature restrictions.

  • No Ads: We do not display third-party advertisements.
  • Full Features: All resolution and format support is unlocked by default.
  • Updates: You are eligible for free updates as they become available.

2. INTELLECTUAL PROPERTY

The Software, including all intellectual property rights therein, is the property of WinMPX Technologies. The Software is licensed, not sold. This EULA does not grant you any rights to trademarks or service marks of Winands Labs.

3. RESTRICTIONS

You agree not to, and you will not permit others to:

  • a) Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Software.
  • b) Modify, adapt, improve, or create derivative works from the Software.
  • c) Remove, alter, or obscure any proprietary notice (including copyright or trademark notices) of Winands Labs.
  • d) Use the Software to distribute content commercially without the copyright holder's permission.
  • e) Use the Software to bypass, modify, defeat, or circumvent any Digital Rights Management (DRM) encryption or content protection measures used by streaming services.

4. COPYRIGHT COMPLIANCE & DATA USAGE

  • 4.1 NEUTRAL TOOL. You acknowledge that WinMPX is a neutral technical tool (similar to a web browser) that processes data at your request.
  • 4.2 INTENDED USE. The Software is intended strictly for "Time-Shifting" (recording for later viewing), "Format Shifting," and creating personal, offline backups of content you have the legal right to access.
  • 4.3 USER RESPONSIBILITY. You are solely responsible for checking the copyright status of the media you download. Winands Labs claims no intellectual property rights over the content you process and shall not be held liable for any copyright infringement committed by you.

5. THIRD-PARTY PLATFORMS & RISKS

The Software interacts with third-party platforms (e.g., YouTube). You acknowledge that:

  • a) Your use of the Software may violate the Terms of Service of these third-party platforms.
  • b) Winands Labs is not affiliated with, authorized by, or endorsed by Google LLC, YouTube, or any other platform.
  • c) You assume all risks associated with your account status on these platforms (e.g., IP bans or account suspension) resulting from the use of this Software.
  • d) The functionality of the Software depends on third-party services which may change their technical measures at any time. The Software is provided "AS-IS" with no guarantee of continued availability for specific websites.

6. OPEN SOURCE ACKNOWLEDGMENTS

This Software utilizes unmodified libraries and binaries from open-source projects, including but not limited to:

  • yt-dlp (The Unlicense / Public Domain)
  • FFmpeg (Licensed under LGPL v2.1+)

These components remain the property of their respective owners. Winands Labs does not claim ownership of these open-source binaries.

7. PRIVACY AND TELEMETRY

  • 7.1 Personal Data. Winands Labs respects your privacy. We do not collect your personal data.
  • 7.2 Anonymous Usage Data. To improve stability, the application may collect anonymous technical telemetry (e.g., crash reports, OS version, successful download counts). This data is aggregated and cannot be used to personally identify you.

8. TERMINATION

Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term(s) of this Agreement. Upon termination, you shall cease all use of the Software and delete all copies.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Winands Labs and its affiliates from any and all claims, liabilities, damages, and expenses (including legal fees) arising from your misuse of the Software or your violation of any third-party rights, including copyright infringement.

10. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED TO YOU "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, Winands Labs EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Winands Labs BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, OR OTHER INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

12. GOVERNING LAW AND JURISDICTION

This Agreement will be governed by and interpreted in accordance with the laws of Peru. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Lima, Peru, and the parties hereby consent to the personal jurisdiction and venue therein.
