TERMS OF USE

1. AGREEMENT TO TERMS

These Terms of Use ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Winands Labs ("we," "us," or "our"), concerning your access to and use of the winmpx.com website (the "Site") and the desktop software available for download therein (the "Software").

By accessing the Site or downloading the Software, you agree that you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND SOFTWARE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. ELIGIBILITY

The Site and Software are intended for users who are at least 18 years old. Persons who are minor in their jurisdiction are not permitted to use the Site. By using the Site, you represent and warrant that you are not located in a country that is subject to a U.S. government or international embargo, or that has been designated by applicable law as a "terrorist supporting" country.

3. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. The Content and the Marks are provided on the Site "AS IS" for your information and personal use only. No part of the Site may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

4. USER REPRESENTATIONS & PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree NOT to:

• Systematic Retrieval: Retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us (No Scraping).
• Circumvention: Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content.
• Unauthorized Mirroring: Host, redistribute, or "mirror" the WinMPX installation files on other servers or websites.
• Reverse Engineering: Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
• Harassment: Use the Site or our support channels to harass, abuse, or harm another person or our employees.

5. SOFTWARE LICENSE & DOWNLOADS

Any software that is made available to download from the Site ("WinMPX Desktop App") is the copyrighted work of Winands Labs. Use of the Software is governed by the terms of the End-User License Agreement ("EULA"), which accompanies or is included with the Software. You may not install any Software unless you first agree to the EULA terms. Note: The Software is a neutral technical tool. We strictly prohibit the use of our Software to download copyrighted content without the permission of the rights holder.

6. DMCA NOTICE & COPYRIGHT POLICY

We respect the intellectual property rights of others. If you believe that any material available on or through the Site infringes upon any copyright you own or control, please immediately notify us at: support@winmpx.com

Please include:

• Identification of the copyrighted work.
• Identification of the material that is claimed to be infringing.
• Your contact information.
• A statement that you have a good faith belief that use of the material is not authorized.

Repeat Infringer Policy: In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, we have adopted a policy of terminating, in appropriate circumstances, access to the Site and Software for users who are deemed to be repeat infringers.

7. DISCLAIMER

THE SITE AND SOFTWARE ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SITE AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO AND USE OF THE SITE.

8. LIMITATION OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. GOVERNING LAW

These Terms shall be governed by and defined following the laws of Peru. Winands Labs and yourself irrevocably consent that the courts of Lima, Peru shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
